Company formation

Setting up a new company

Most foreign investors start with a new company, either in one of the UAE's free zones or on the mainland. Since June 2021, 100% foreign ownership has been possible for most activities in both.

What we do

  • Compare free zone and mainland options for your activities and budget
  • Select the license activities and reserve the company name
  • Prepare and submit the applications
  • Arrange the office or desk space the authority requires
  • Follow the process through to the issued license

What you will usually need

  • Passport copies of shareholders and managers
  • A short description of the planned activities
  • For a corporate shareholder: company documents legalized for use in the UAE
Branch of a foreign company

Opening a branch of your existing company

A branch lets your Polish or European company operate in the UAE under its own name. It is not a separate legal entity, so the parent company remains responsible for the branch's obligations.

Documents the Ministry of Economy and Tourism asks for (mainland branch)

  • Board resolution establishing the branch and appointing its manager
  • The parent company's articles of association and commercial register extract (in Poland, the KRS extract), attested by the UAE embassy and the UAE Ministry of Foreign Affairs
  • Passport copy of the appointed manager
  • Initial approval and a reserved trade name
  • Approvals from other authorities, depending on the activity
  • A letter appointing an auditor registered with the Ministry

Industrial licensing

Setting up a factory or industrial facility

Manufacturing in the UAE needs an industrial license. On the mainland, this means an Industrial Production License from the Ministry of Industry and Advanced Technology together with the local economic license. Free zones with industrial land issue their own licenses.

Worth knowing

  • Factories outside free zones that reach 40% local value added can register with the Ministry of Economy and Tourism for preferential certificates of origin for their products
